This obligation of confidentiality does not apply to any information that is or becomes a part of the public domain through no act or omission by you, was in your lawful possession prior to the disclosure without any restriction on disclosure, or is independently developed by you without use of or reference to such confidential information. If you are required to disclose such confidential information to any court or government authority, then you agree to provide WebTrends with sufficient notice prior to your disclosure. Such obligations of confidentiality shall survive any termination of this Agreement. You agree, unless required by law, not to make Confidential Information available in any form to any third party except to your employees or agents who are required to know to allow you to exercise your rights under this Agreement, or to use the Confidential Information for any purpose other than in the performance of this Agreement. You shall not disclose the results of any performance tests of the Software or Supplemental Software to any third party without WebTrends's prior written approval. You agree to take all reasonable steps to ensure that Confidential Information is not disclosed or distributed by its employees or agents in breach of this Agreement. You acknowledge and agree that, due to the unique nature of Confidential Information, there can be no adequate remedy at law for breach of this section of the Agreement and that such breach would cause irreparable harm to WebTrends; therefore WebTrends shall be entitled to seek immediate injunctive relief, in addition to whatever remedies it might have at law or under this Agreement. MODIFICATIONS. Due to the changing and dynamic nature of the Internet, the features of the Software may change from time to time in regard to which search engines, directories, or related features are supported, and to the extent they are supported in the Software. Support for certain search engines or directories may be added or removed depending upon current market conditions, technical considerations and other circumstances. You acknowledge and agree that such changes are fair and reasonable. SUPPORT. Except as provided herein, support for the Software is provided to you free of charge. This support will be governed by the then-current support policy for the Software, which policies are subject to change from time to time at WebTrends's sole discretion. If WebTrends discontinues any version of the Software, WebTrends reserves the right to limit or cease product support and updates for the version after its discontinuation. WebTrends reserves the right to discontinue free support with thirty (30) days written notice posted to the WebTrends or product Web site SERVICES. WebTrends may make available certain services ("Services") with respect to the Software. A description of such Services is available at www.webposition.com. Use of the Services is subject to all the terms of this Agreement. TERMINATION. Your license to use the Software continues until terminated. This license will terminate automatically if you fail to comply with any term hereof. No notice shall be required from WebTrends to effect such termination. You may also terminate this Agreement at any time by notifying WebTrends in writing of termination. On termination, you must destroy all copies of the Software. Your obligation to pay accrued charges and fees shall survive any termination of this Agreement. COMMUNICATION. It may be amended only by a writing executed by both parties. SEVERABILITY. If any provision of this Agreement is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable. GOVERNING LAW. This Agreement shall be governed by and construed under California law as such law applies to agreements between California residents entered into and to be performed within California, except as governed by Federal law. If any term of this Agreement is inconsistent with any provision of the Uniform Computer Information Transactions Act ("UCITA"), as UCITA may be enacted in the state whose law applies, such term shall be enforced to the full extent allowed by law. AUDIT RIGHTS. WebTrends may, upon fifteen (15) days' advance notice and at its expense, conduct an annual audit, during your normal business hours, of your use of the Software and Documentation to verify compliance with this Agreement. You shall provide WebTrends or an authorized representative with access to records, hardware and employees in order to perform the audit. EXPORT LAW ASSURANCES. You acknowledge and agree that the Software may be subject to the U.S. Export Administration Regulations and the export, import and re-export regulations of any other applicable jurisdiction. Diversion of such Software contrary to U.S. law or other applicable law is prohibited. Diversion of such Software contrary to U.S. law is prohibited. You agree that none of the Software, which is subject to the U.S. Export Administration Act, is being or will be acquired for, shipped, transferred, or re-exported, directly or indirectly, to proscribed or embargoed countries or their nationals, nor be used for nuclear activities, chemical or biological weapons, or missile projects unless authorized by the U.S. government. Proscribed countries are set forth in the U.S. Export Administration Regulations. Countries subject to U.S. embargo are: Cuba, Iran, Iraq, Libya, North Korea, Syria, and the Sudan. This list is subject to change and you must comply with the list as it exists in fact. You certify that you are not on the U.S. Department of Commerce's Denied Persons List. You are responsible for complying with any applicable local laws, including but not limited to the export and import regulations of other countries. These obligations survive expiration or termination of this Agreement. FORCE MAJEURE. WebTrends and its suppliers shall not be liable in any respect for failures to perform hereunder due wholly or substantially to the elements, acts of God, labor disputes, acts of terrorism, acts of civil or military authority, fires, floods, epidemics, quarantine restrictions, armed hostilities, riots and other unavoidable events beyond the control of WebTrends or its suppliers, and the time for performance of obligations hereunder by WebTrends or its suppliers subject to such event shall be extended for the duration of such event. U.S. GOVERNMENT RESTRICTED RIGHTS. If the Software is being acquired by or on behalf of the U.S. Government or by a U.S. Government prime contractor or subcontractor (at any tier), in accordance with 48 C.F.R. 227.7202-4 (for Department of Defense (DOD) acquisitions) and 48 C.F.R. 2.101 and 12.212 (for non-DOD acquisitions), the government's rights in Software and Documentation, including its rights to use, modify, reproduce, release, perform, display or disclose the Software or Documentation, will be subject in all respects to the commercial license rights and restrictions provided in this Agreement. IF YOU ARE A LICENSEE IN EUROPE, THE MIDDLE EAST OR AFRICA, NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, THE FOLLOWING TERMS APPLY TO YOU: WebTrends under this Agreement is WebTrends Europe Limited with its registered offices at Building 2, 2nd Floor, Parkmore East Business Park, Galway, Republic of Ireland. All references to "WebTrends", the licensor of WebTrends software, or WebTrends Corporation (or a subsidiary of WebTrends Corporation) shall refer to WebTrends Europe Limited. If the laws of country in which you are located require that contracts be in the local language in order to be enforceable, the version of this Agreement that shall govern is the translated version of this Agreement in the local language that is produced by WebTrends within a reasonable time following your written request to WebTrends. The limitations of liability in this Agreement shall not exclude or limit WebTrends's liability for: (1) death or personal injury cause by its negligence or the negligence of its employees, agents or subcontracts, (2) breach of any implied term as to title or quiet enjoyment of any Software supplied pursuant to this Agreement, or (3) fraudulent misrepresentation. The Agreement is governed by the laws of the Republic of Ireland. You hereby agree that for the benefit of WebTrends, and without prejudice to the right of WebTrends to take proceedings in relation hereto before any other court of competent jurisdiction, that the courts of Ireland shall have exclusive jurisdiction to hear and determine any suit, action or proceedings that might arise out of or in connection with this Agreement and for such purposes you irrevocably submit to the jurisdiction of such courts. Any arbitration provision above shall not apply. You acknowledge and agree that the benefits of certain provisions of this Agreement are expressed to be for WebTrends Europe Limited and WebTrends Corporation.
