End-User License Agreement for FlyPop Files IMPORTANT – READ CAREFULLY This End-User License Agreement ("EULA") is a legal agreement between you, the end user (either an individual or a single entity) and FlyPop, a sole proprietorship owned by Austin Heap, ("FlyPop") for a software product, which includes a computer file and may include associated media, printed materials, and "online" or electronic documentation ("SOFTWARE PRODUCT"). BY DOWNLOADING, LICENSING, INSTALLING, OR OTHERWISE USING ANY FLYPOP SOFTWARE PRODUCT, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. THIS EULA CONSTITUTES THE COMPLETE AGREEMENT BETWEEN YOU AND FLYPOP. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, DO NOT DOWNLOAD, LICENSE, INSTALL, OR USE THE SOFTWARE PRODUCT. SOFTWARE PRODUCT LICENSE The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold. DEFINITION OF LICENSEE: As used in this EULA, the term "licensee" refers to an individual or a single healthcare delivery entity. GRANT OF LICENSE. FlyPop, as licensor, grants to you, the LICENSEE, a nonexclusive right to install the SOFTWARE PRODUCT on your computers for your PERSONAL USE ONLY. These computers may be storage devices, such as network file servers, that allow file sharing of the SOFTWARE PRODUCT on your other computers over an internal network. You do not require additional licenses to implement file sharing of the SOFTWARE PRODUCT over an internal computer network. For each installed copy of the SOFTWARE PRODUCT, you may make one (1) copy of the SOFTWARE PRODUCT solely for back-up or archival purposes. All back-up or archival copies of the SOFTWARE PRODUCT are subject to the terms of this EULA. FlyPop reserves all rights not expressly granted to the LICENSEE. OWNERSHIP OF SOFTWARE PRODUCT. As the LICENSEE, you own the physical media on which the SOFTWARE PRODUCT is originally or subsequently recorded or fixed, but FlyPop retains title and ownership of the software recorded on the original copy and all subsequent copies of the SOFTWARE PRODUCT, regardless of the form or media in or on which the original and other copies may exist. This license is not a sale of the original SOFTWARE PRODUCT or any copy. SUPPLEMENTAL SOFTWARE. Any supplemental software provided to you by FlyPop shall be considered part of the SOFTWARE PRODUCT, and shall be subject to the terms and conditions of this EULA. COPY RESTRICTIONS. The SOFTWARE PRODUCT is owned by FlyPop, and is protected by copyright laws and international treaty provisions. Unauthorized copying or use of the SOFTWARE PRODUCT, including any portion of the SOFTWARE PRODUCT that has been modified, merged, or included with other software, or of the written materials, is expressly forbidden. You may be held legally responsible for any copyright infringement that is caused or encouraged by your failure to abide by the terms of this license. TRANSFER, REUSE, AND RESALE RESTRICTIONS. The SOFTWARE PRODUCT is licensed only to you, the LICENSEE, for your PERSONAL USE ONLY. You may not transfer the SOFTWARE PRODUCT to anyone without the prior written consent of FlyPop. Any authorized transferee of the SOFTWARE PRODUCT shall be bound by the terms and conditions of this agreement. You agree not to reproduce, duplicate, copy, distribute, retransmit, assign, rent, lease, sell, or resell the SOFTWARE PRODUCT, or to otherwise exploit the SOFTWARE PRODUCT for any commercial purpose, without express written permission from FlyPop. USE RESTRICTIONS. As the LICENSEE, you may modify, adapt, translate, or create derivative works based on the SOFTWARE PRODUCT for your PERSONAL USE ONLY without the prior written consent of FlyPop. However, any work you perform upon the SOFTWARE PRODUCT shall be considered part of the SOFTWARE PRODUCT, and shall be subject to the terms and conditions set forth in this EULA, including but not limited to the provisions regarding OWNERSHIP OF SOFTWARE PRODUCT, COPY RESTRICTIONS, and TRANSFER, REUSE, AND RESALE RESTRICTIONS. In addition, the LIMITED WARRANTY for the SOFTWARE PRODUCT may become void if it is still in effect. TERMINATION. This license is effective until terminated. Without prejudice to any other rights, FlyPop may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE PRODUCT. MISCELLANEOUS. This EULA is governed by the laws of the State of Ohio. LIMITED WARRANTY NO WARRANTY FOR FREE SOFTWARE PRODUCTS. Free FlyPop SOFTWARE PRODUCTS are provided strictly on an "AS-IS" and "AS-AVAILABLE" basis with no warranty of any type, whether statutory, express, or implied. LIMITED WARRANTY FOR FEE-BASED SOFTWARE PRODUCTS. FlyPop warrants that a fee-based SOFTWARE PRODUCT will perform substantially as described in the accompanying written materials for a period of one (1) year from the date of purchase. CUSTOMER REMEDIES. FlyPop’s entire liability and your exclusive remedy shall be, at FlyPop's exclusive option, either (a) return of the price paid, if any, or (b) repair or replacement of the SOFTWARE PRODUCT that does not meet FlyPop's Limited Warranty. This Limited Warranty is void if failure of the SOFTWARE PRODUCT has resulted from accident, abuse, modification, misapplication, or any free FlyPop software. Any repair or replacement of the SOFTWARE PRODUCT will be warranted for the remainder of the original warranty period or ninety (90) days, whichever is longer. If FlyPop offers to repair your SOFTWARE PRODUCT, FlyPop may provide a patch to you, along with instructions regarding how to install the patch. To install the patch, you may be required to download the patch and the instructions from the FlyPop website, and you may be required to make changes to database objects (e.g. remove one object and insert another). FlyPop will not install the patch for you under the terms of this warranty. However, FlyPop may provide email-based support to you, subject to the terms and conditions set forth on the Email-based Support page. If FlyPop offers to replace your SOFTWARE PRODUCT, FlyPop will provide a new software file to you, distributed by email or by other mechanisms. If your existing data may be preserved by moving it into the new file, FlyPop may also provide instructions to you regarding how to accomplish this. To preserve your existing data, you may be required to utilize certain built-in Access functionality (e.g. data import/export functionality). Under the terms of this warranty, FlyPop will not install a new file for you, and FlyPop will not move your data into a new file for you. However, FlyPop may provide email-based support to you, subject to the terms and conditions set forth on the Email-based Support page. NO OTHER WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLYPOP DISCLAIMS ALL OTHER WARRANTIES AND CONDITIONS, WHETHER STATUTORY, EXPRESS, OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, WITH REGARD TO THE SOFTWARE PRODUCT, AND THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES. IN ANY CASE, FLYPOP'S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS EULA SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE PRODUCT. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
